By creating a ComniCube account or using any ComniCube service, you agree to these Terms of Service (“Terms”). If you are agreeing on behalf of a company or organisation, you represent that you have authority to bind that entity.
If you do not agree to these Terms, you may not use the service.
2. The service
ComniCube Ltd provides a multi-channel messaging platform (“Service”) that enables businesses to send and receive messages via SMS, WhatsApp, Viber, Voice, Push Notifications, and Email through a REST API and web dashboard.
The Service is provided “as is” and is subject to the availability and capabilities of underlying carrier networks and third-party messaging platforms. ComniCube acts as an intermediary between customers and those networks.
3. Account registration
You must provide accurate and complete information when registering an account. You are responsible for maintaining the confidentiality of your API keys and account credentials. You must notify us immediately at security@comnicube.com if you suspect unauthorised access to your account.
Accounts must be registered by individuals aged 18 or over on behalf of a legitimate business entity. Personal accounts (non-business) are not supported.
4. Acceptable use
You may not use the Service to:
- Send unsolicited commercial messages (spam) or any message without appropriate consent under applicable law
- Transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Impersonate any person or entity or falsify sender identity
- Facilitate phishing, fraud, or any deceptive practice
- Send content related to illegal activities, illicit substances, or prohibited goods in the recipient’s jurisdiction
- Violate any applicable law or regulation, including PECR, UK GDPR, and equivalent regulations in recipient countries
- Attempt to reverse engineer, disrupt, or circumvent platform security measures
- Exceed rate limits or attempt to overload platform infrastructure
Violation of acceptable use terms may result in immediate account suspension without refund of unused credits.
5. Payment terms
The Service operates on a prepay credit model. Credits are purchased in advance and consumed as messages are sent. Credits do not expire.
Subscription plan fees (where applicable) are billed monthly or annually in advance and are non-refundable except as required by UK consumer law.
All prices are exclusive of VAT. UK VAT will be applied where applicable at the prevailing rate.
Disputed charges must be raised within 30 days of the invoice date.
6. Intellectual property
ComniCube Ltd retains all intellectual property rights in the platform, API, documentation, and all associated materials.
You retain all rights to content you transmit through the platform. By using the Service, you grant ComniCube a limited licence to process and transmit your content solely as necessary to provide the Service.
7. Service availability
ComniCube targets 99.97% platform uptime, excluding scheduled maintenance. We do not guarantee 100% availability and are not liable for delays or failures caused by underlying carrier networks, third-party messaging platforms, or force majeure events.

8. Limitation of liability
To the maximum extent permitted by applicable law, ComniCube’s total liability arising from or related to these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the claim.
ComniCube is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Termination
Either party may terminate the Service agreement at any time with 30 days written notice. ComniCube may suspend or terminate accounts immediately for breach of acceptable use terms, non-payment, or reasonable suspicion of fraudulent activity.
Upon termination, unused credits may be refunded at ComniCube’s discretion less any outstanding amounts owed.
10. Data processing
Where you use the Service to process personal data of your customers, ComniCube acts as a data processor and you act as the data controller. Our Data Processing Agreement (available at comnicube.com/dpa) forms part of these Terms for UK GDPR purposes.
11. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes
We may modify these Terms from time to time. Material changes will be communicated by email to the address registered on your account at least 14 days before taking effect.
